First up, you dont need to de-compile a MDL if you just want to change a texture/skin.

You can export it from the MDL using HLMV (http://www.wunderboy.org/3d_games/utils/hlmv.php), edit it, and then re-export it back into the model as long as the edited skin is the same dimensions as the original.

Decompiling and then re-compiling generates something we call "pixel creep" which causes the texture to become gradually misaligned until black edges start to appear.

However, if you have decompiled a MDL an want to re-compile it again, you need a copy of StudioMDL (http://www.wunderboy.org/3d_games/utils/hlmv.php) which is a MS-DOS program. You can copy it to the folder where your model files are.

First you need to find the .qc file in your folder then, opening a DOS window to that folder use the command:

studiomdl.exe <filename.qc>

replacing filename with the name of your QC file. It will then compile the model back into a MDL file.

If your not a DOS person, you can use HLMV as a front end to StudioMDL by telling it where StudioMDL.exe is located and then telling it where your .QC file is.

Again, it recommended that for simple re-skins you don't decompile the model - just export and re-import the skin.

Oh, and make sure after editing that your skin is an 8-bit (256 colour) non RLE compressed BMP file.
